These Terms of Service (the “Terms”) govern your access to and use of the websites, online stores, features, tools, products, and services operated by Can’t Lay Up (the “Services”). The terms “we,” “us,” and “our” refer to Can’t Lay Up. Our store is powered by Shopify, which helps us provide the Services to you.

By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy ([LINK]) and acknowledge our Return & Refund Policy ([LINK]). If you don’t agree, don’t use the Services.

1) Access & Accounts

  • You represent you are at least the age of majority where you live. If you allow a minor dependent to use devices you own or manage to access the Services, you do so with consent and responsibility.

  • To shop or browse, you may be asked for information (e.g., email, billing, payment, shipping). You promise this info is accurate, current, and complete and that you have the right to provide it.

  • You’re responsible for your account credentials and all activity under your account. Don’t sell, transfer, or license your account.

2) Products & Content

  • We work hard to show products accurately, but colors/appearance can vary by screen and settings.

  • We don’t guarantee that any product will meet your expectations or match on-screen renders exactly.

  • Descriptions, specs, pricing, and availability may change without notice. We may limit quantities or discontinue products at any time, including by region or jurisdiction.

3) Orders

  • Your order is an offer to buy; we may accept or decline at our discretion. We must receive and process payment before acceptance. If we decline, change, or cancel an order, we’ll try to notify you using the contact info you provided.

  • Please review orders carefully before submitting; cancellations may not be possible after acceptance.

  • Purchases are for personal/household use, not resale or export.

  • Returns and exchanges follow our Return & Refund Policy ([LINK]).

4) Prices, Promotions & Billing

  • Prices, discounts, and promos can change without notice. The price in your order confirmation is the controlling price. Unless we say otherwise, posted prices exclude taxes, shipping/handling, customs, and import charges.

  • We may run promotions governed by separate terms; if those conflict with these Terms, the promo terms control.

  • You agree to keep your purchase, payment, and account info current (e.g., email, card numbers, expiry). You represent that you’re authorized to use the payment method and will pay all charges, including applicable taxes and shipping.

5) Shipping & Delivery

  • Delivery times are estimates, not guarantees. We aren’t liable for delays caused by carriers, customs, or events outside our control. Title and risk of loss pass to you when we hand off to the carrier.

6) Intellectual Property

  • The Services (including text, graphics, images, video, audio, design/layout, product names, reviews, and other content) are owned by Can’t Lay Up or our licensors and are protected by intellectual property laws.

  • You may use the Services for personal, non‑commercial use only. Don’t copy, distribute, modify, create derivatives, publicly display, or exploit the Services without our prior written permission.

  • Can’t Lay Up names, logos, designs, slogans, and product/service names are our trademarks. Don’t use them without prior written permission. Shopify names/logos are trademarks of Shopify. All other marks belong to their owners.

7) Optional Tools & New Features

  • We may give you access to third‑party tools or features we don’t control and don’t monitor. They’re provided “as is” and “as available,” without warranties. Use them at your own risk and review the third party’s terms.

  • New features released through the Services are part of the Services and subject to these Terms.

8) Third‑Party Links

  • The Services may link to third‑party sites or embed third‑party content. We’re not responsible for those sites or materials. Accessing them is at your own risk—review their terms and policies before transacting.

9) Our Relationship with Shopify

Our store is powered by Shopify, but sales are between you and Can’t Lay Up. Shopify isn’t responsible for your purchases, products, or any resulting injury, damage, or loss. You expressly release Shopify and its affiliates from claims arising from your transactions with Can’t Lay Up.

10) Privacy

Your personal information is handled per our Privacy Policy ([LINK]). Because we use Shopify, some information about your access/use is processed by Shopify and service providers (which may be outside your country). See our Privacy Policy and Shopify’s privacy policy for details.

11) Feedback (Reviews, Ideas, Suggestions)

  • If you submit reviews, ideas, suggestions, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty‑free license to use, reproduce, modify, publish, distribute, and display that Feedback for any purpose.

  • You represent you own or control rights to your Feedback, disclose any incentives, and that your Feedback complies with these Terms. We may monitor, edit, or remove Feedback we deem unlawful, offensive, infringing, or otherwise objectionable.

  • Don’t post content that violates rights, includes malware, or misleads about its origin. You’re responsible for your Feedback.

12) Errors, Inaccuracies & Omissions

  • Occasionally the Services may contain errors (e.g., pricing, availability, transit times). We may correct or update information and cancel orders if information is inaccurate, including after you’ve submitted an order.

13) Prohibited Uses

  • Use the Services lawfully and respectfully. Don’t: violate laws; infringe IP; harass or harm others; transmit false/misleading info; spam; scrape; upload malware; interfere with security; or attempt to impersonate others.

  • We may suspend or terminate access for violations.

14) Termination

  • We may terminate or suspend your access at any time, with or without notice. You remain responsible for amounts due through the termination date. Sections intended to survive will continue (e.g., IP, Feedback, Disclaimers, Liability Limits, Indemnification, Governing Law).

15) Disclaimers

  • Information on the Services is for general purposes only. We don’t warrant completeness or accuracy; rely at your own risk.

  • Except as expressly stated by Can’t Lay Up, the Services and all products are provided “as is” and “as available,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, title, and non‑infringement). Some jurisdictions don’t allow certain disclaimers, so parts may not apply to you.

16) Limitation of Liability

  • To the fullest extent permitted by law, Can’t Lay Up and our partners, officers, employees, agents, contractors, service providers, licensors—and Shopify and its affiliates—won’t be liable for any indirect, incidental, special, consequential, punitive, or similar damages (including lost profits, revenue, savings, data, or replacement costs) arising out of or related to your use of the Services or products, even if advised of the possibility.

17) Indemnification

  • You agree to indemnify and hold harmless Can’t Lay Up, Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law or third‑party rights, or misuse of the Services. We may control the defense and settlement; you’ll cooperate as reasonably requested.

18) Severability

  • If any provision is unlawful or unenforceable, it will be enforced to the maximum extent permitted, and the remainder remains in effect.

19) Waiver & Entire Agreement

  • Our failure to enforce a provision isn’t a waiver. These Terms and policies referenced here are the entire agreement between you and us regarding the Services and supersede prior agreements. Ambiguities won’t be construed against the drafter.

20) Assignment

  • You can’t assign or transfer these Terms without our written consent. We may assign or transfer without notice.

21) Governing Law & Venue

  • These Terms and any related disputes are governed by the laws of the State of Washington, USA, without regard to conflict‑of‑laws rules. You consent to exclusive jurisdiction and venue in the state or federal courts located in King County, Washington.

22) Headings

  • Headings are for convenience only and don’t affect interpretation.

23) Changes to These Terms

  • You can review the latest Terms on this page. We may update them by posting revisions, with notice of material changes when required by law. Your continued use after changes are posted means you accept the updated Terms.
